MOUNTAINSIDE, NJ--(Marketwire -12/27/11)- PROTEONOMIX, INC. (OTC.BB: PROT.OB - News), a biotechnology company focused on developing therapeutics based upon the use of human cells and their derivatives, announced today that it has completed all payments required from Proteonomix to commence a Clinical Study entitled "UMK-121 in Patients with Liver Disease."

As previously announced, the Company entered into an Agreement to conduct the clinical trial with the University of Miami. That Agreement required the University to pay expenses associated with the clinical study and The Company was required to assist financially with the clinical study.

Michael Cohen, President of the Company, stated: "The financing that was required to complete the Company's obligation with respect to the Trial was provided Friday, December 23, 2011. We previously thanked the University for its generous assistance in the agreement to conduct a clinical trial of UMK-121. The Company has previously described the terms of the agreement to license and develop and the patent application of the UMK-121 technology. The Company will work together with the University and the principal investigators to initiate the clinical study."

Mr. Cohen continued, "Our UMK-121 pharmaceutical therapy is advancing toward its first human clinical trial in ESLD ('End Stage Liver Disease') patients. We hope to provide patients who are suffering from this debilitating and mortal condition with alternatives. According to United Network for Organ Sharing ('UNOS') there are over 100,000 patients on the transplant waiting list at any given time. Item 3.03 Modification of Rights of Security Holders
On December 29, 2011, The Series A1 and Series B Preferred Stock classes were amended by filing with the Delaware Secretary of State's Office Amended Certificate of Designation, Preferences and Rights of Preferred Stock of Proteonomix, Inc. (See Exhibit 3.11 filed herewith)("Amended Designation"). The primary effect of the Amended Designation is to make the existing Class A1 and Class C Convertible Preferred Stock conversion rights protected against dilution in most circumstances, including reverse splits in the common stock.

Also on December 29, 2011, Proteonomix, Inc. (the "Company") created a new class of securities, the Class D Preferred Stock which was accomplished by filing with the Delaware Secretary of State's Office a Certificate of Designation, Preferences and Rights of Class D Preferred Stock of Proteonomix, Inc. (See Exhibit 3.12 filed herewith). The primary terms of the Class D Preferred is that in addition to preferences upon liquidation, the Class D is convertible at a ratio 10 common shares to 1 converted Class D Preferred share of the Company.
The conversion may be made for a period of one year from date of issuance. In addition, the Class D conversion rights are protected against dilution in most circumstances, including reverse splits in the common stock.

On February 2, 2012, Proteoderm, Inc. (the "Company"), a controlled subsidiary of Proteonomix, Inc. (the "Registrant") hired Jaci Mandil, of Livingston, New Jersey, as its Chief Executive and Operating Officer. Ms. Mandil attended the University of South Dakota Business School for Business Management & Marketing.
She grew up in a family business in Pierre, South Dakota, where she was a buyer and marketing manager. She worked as a personal coach and fashion consultant to various top 10 contestants competing in the Miss South Dakota Miss America pageant, Miss South Dakota USA & Mrs. America Pageant USA. She was a regional representative of South Dakota Retailers in the late 80's. Later she joined the National Chem-Search, a fortune 500 company and producer of industrial products as a marketing representative. She moved to NYC to join International Intimates where she worked for 13 years as a sales executive who integrated into each customer's business plan making International Intimates an industry leader..
Within that role she developed business plans, merchandise assortments & distribution of product. Jaci played a major role in developing new products & private label programs. She provided an exclusive service to national department stores & fine specialty retailers worldwide. Ms. Mandil left that company in May, 2005 to raise her family. She currently resides in New Jersey with her husband and four children.
